The Service is owned by GoodGist Inc. and is protected by copyright and intellectual property laws. The Avery.Software platform, including all software, designs, documentation, and proprietary technologies, are the exclusive property of GoodGist Inc.

All rights reserved. Unauthorized reproduction, distribution, or transmission of any content from this Service is strictly prohibited without written consent from GoodGist Inc.

GoodGist Inc. grants you a limited, non-exclusive, non-transferable license to use the Service for your personal or business use, subject to these Terms. This license does not grant you the right to:

• Reverse-engineer, decompile, or disassemble the Service
• Redistribute or resell the Service or its components
• Circumvent any licensing controls or restrictions
• Use the Service to develop competing products or services

5. User-Generated Code Ownership

You own the code and content generated by the Avery.Software platform for your projects. However, you agree to comply with all applicable open-source license requirements and restrictions. If your project incorporates open-source software, you must abide by the terms of those licenses.

GoodGist Inc. retains no ownership claims to code generated for your projects, provided that you maintain proper attribution and license compliance. You grant GoodGist Inc. a limited operational license to store, backup, and maintain your content as necessary to provide the Service.

6. AI-Generated Output & Disclaimer

The Service uses artificial intelligence to assist with code generation and development tasks. You understand and acknowledge that:

• You bear full responsibility for reviewing and validating all AI-generated output
• The Service is not a substitute for professional review by qualified software engineers, security professionals, or other relevant experts
• GoodGist Inc. provides no warranty regarding the accuracy, security, or suitability of AI-generated output
• You are responsible for ensuring all generated code complies with applicable laws and best practices

GoodGist Inc. reserves the right to modify pricing with a minimum of 30 days' notice to existing subscribers. Changes to your subscription price will take effect on your next renewal date.

If you do not agree with a price change, you may cancel your subscription before the change takes effect.

9. Acceptable Use Policy

You agree not to use the Service for any of the following purposes:

• Generating unlawful content or assisting in illegal activities
• Creating malware, viruses, or other malicious software
• Infringing on intellectual property rights of third parties
• Circumventing security measures or attempting unauthorized access
• Generating weapons or assisting in weapon development
• Harassing, threatening, or abusing other individuals
• Violating any applicable laws or regulations

You agree to indemnify and hold harmless GoodGist Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your violation of these Terms of Service
• Your use of the Service in violation of applicable laws
• AI-generated output that you generated, published, or deployed
• Infringement of third-party intellectual property rights by content you created using the Service

Users must authenticate through the Service to access paid features. You are responsible for:

• Maintaining the confidentiality of your account credentials
• Notifying GoodGist Inc. immediately of any unauthorized access
• Accepting responsibility for all activities under your account

13. Termination

GoodGist Inc. may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including:

• Violation of these Terms of Service
• Non-payment of subscription fees
• Security concerns or suspicious activity
• Discontinuation of the Service or specific features

Upon termination, your right to use the Service ceases immediately. GoodGist Inc. will not be liable for any consequences of termination.

GoodGist Inc. reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the Service or upon email notification to you. Continued use of the Service following the posting of revised terms means that you accept and agree to the changes.

15. Governing Law & Dispute Resolution

This Terms of Service agreement is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any legal disputes arising from these Terms will be subject to mandatory binding arbitration, except for claims brought in small claims court. You agree to waive your right to trial by jury and class action lawsuits.
