Thank you for using GoodGist. These Terms of Use (“Terms”) are a binding agreement between GoodGist (“GoodGist,” “we,” “our,” or “us”) and the person or entity accessing or using our websites, products, and services (“you” or “Customer”).
These Terms govern your access to and use of: (a) GoodGist Assistants (Classic) (email-based AI assistants); and (b) Avery — our autonomous software development platform (AI Virtual Engineer for Reliable Yield). Our Privacy Policy explains how we collect and use data. By using the Services, you accept these Terms and the Privacy Policy. GoodGist
If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
Definitions
Services: Our websites, apps, platforms, APIs, and features, including Assistants (Classic) and Avery.
Avery: GoodGist’s autonomous software development platform that can scope, plan, write code, open pull requests, configure CI/CD, deploy to environments, and instrument telemetry.
Assistants (Classic): Email-based AI assistants and related automations.
Content: Text, files, code, prompts, documents, emails, data, links, feedback, and any other material submitted or generated through the Services.
Customer Content: Content you or your users provide to the Services.
Output: Any content, artifacts, or code the Services generate for you.
Third-Party Services: Non-GoodGist products or services you connect (e.g., GitHub/GitLab/Bitbucket, Vercel/Netlify/Render, AWS/GCP/Azure, Slack, email providers, issue trackers).
Eligibility; Accounts
You must be at least 13 years old (or the minimum age of digital consent in your country). If you are under 18, you may use the Services only with parental or guardian consent. You must provide accurate account information and keep credentials secure. You are responsible for all activity under your account(s). GoodGist
Permitted Use; Acceptable Use
You may use the Services only (a) for lawful purposes; (b) in accordance with these Terms; and (c) within any usage limits we publish or agree. You will not (and will not permit anyone to):
Violate laws or rights (including privacy, IP, export, and sanctions laws);
Upload or generate Content that is illegal, harmful, violent, exploitative, discriminatory, or malware;
Attempt to reverse engineer or extract source/model weights;
Interfere with or disrupt the Services, or bypass access controls;
Use Outputs to build models or datasets that compete with the Services;
Misrepresent Outputs as human-created where disclosure is required.
Safety-critical use. The Services are not designed for safety-critical or high-risk environments (e.g., medical diagnosis, aircraft operation, nuclear, or life-support). You must not rely on the Services where failure could lead to death, personal injury, or severe environmental or property damage.
Third-Party Services & Integrations
You may connect Third-Party Services to the Services (e.g., grant Avery access to your Git repositories and cloud). Your use of Third-Party Services is governed solely by those providers’ terms and policies; we are not responsible for their acts, omissions, security, or availability. You are responsible for managing and revoking credentials, tokens, and permissions.
Customer Content; Output; Ownership
Customer Content. As between you and GoodGist, you retain all rights to Customer Content. You grant GoodGist a non-exclusive license to host, process, transmit, display, and otherwise use Customer Content and Outputs as necessary to provide, maintain, protect, and improve the Services, comply with law, and prevent harm.
Output. As between you and GoodGist, and subject to these Terms and any payment obligations, you own your Outputs, including code Avery generates for you. Outputs may be similar to content generated for others. You are solely responsible for evaluating and using Outputs, including testing, code review, and ensuring compliance with law, third-party licenses, and your internal policies.
Training & improvement. We may use de-identified and aggregated telemetry to improve the Services. If you require a stricter posture (e.g., “no-training” or “no-retention”), contact us for an enterprise agreement or DPA. See our Privacy Policy for details on data handling. GoodGist
OSS and third-party code. Outputs may reference or suggest open-source packages or third-party services. You are responsible for verifying license obligations (e.g., notice, attribution, copyleft) and for security posture (vulnerabilities, CVEs).
Scope of autonomy. When enabled, Avery may: propose scope/acceptance criteria; create issues/tasks; write code and configuration; run tests/lint/security checks; open PRs/merge per policy; configure CI/CD; provision or update infrastructure; deploy; and instrument telemetry.
Authorizations. By connecting repositories, clouds, or other systems, you authorize Avery (and GoodGist acting through Avery) to perform automated actions within the scopes you grant. You are responsible for:
Providing least-privilege credentials and rotating secrets;
Setting branch protection rules and required checks;
Reviewing PRs and approving merges;
Configuring environment safeguards (e.g., staging before prod).
Quality gates & “Reliable Yield.” Avery can enforce guardrails (e.g., tests, coverage thresholds, policy checks) but does not guarantee defect-free code, uninterrupted service, or a specific performance outcome. “Reliable Yield” refers to the process discipline and quality gates designed to increase consistency, not a warranty of results.
Pre-production review. You must review and validate Outputs and deployment plans before release. You acknowledge that code changes can impact availability, security, performance, data integrity, and costs.
Early Access / Beta features. Some Avery features may be labeled Alpha, Beta, Preview, or Early Access. Such features may be unstable, incomplete, or changed/withdrawn at any time; they are provided AS IS, may have reduced security and support, and are not subject to SLA or credits. Provide feedback—by doing so you grant GoodGist a royalty-free, worldwide, irrevocable license to use feedback for any purpose. (This paragraph mirrors standard beta disclaimers and your current public posture that AI content may not be accurate.) GoodGist
Cost controls. You are responsible for third-party usage charges (e.g., cloud, CI minutes, DB/storage, emails, API calls) arising from Avery’s actions in your environments. Set quotas, budgets, and alerts.
Rollbacks and recovery. Avery may assist with rollbacks if configured, but you are responsible for backups, DR plans, data retention, and versioning in your own systems.
Security
We implement reasonable administrative, technical, and physical safeguards. No system is 100% secure. You are responsible for securing your environments, secrets, and access controls, and for promptly notifying us of suspected incidents related to the Services. Fees; Taxes
If you purchase paid Services, you agree to pay fees and applicable taxes. Plans, overage rates, and included usage will be presented at checkout or in an Order Form. Unless stated otherwise, all fees are non-refundable.
Updates; Changes to the Services
We may change the Services or these Terms from time to time (for example, to add features, address security, or comply with law). If changes are material, we will provide notice (e.g., by email or site banner). Your continued use after changes become effective constitutes acceptance.
Suspension & Termination
We may suspend or terminate access if you breach these Terms, create security risks, or for non-payment. You may terminate at any time by stopping use. Upon termination, Sections that by their nature should survive (e.g., ownership, indemnities, disclaimers, limits, dispute resolution) will survive.
Confidentiality
Each party may receive non-public information marked or reasonably understood as confidential. The receiving party will use such information only to perform under these Terms and will protect it using reasonable measures. Exclusions apply for information that is public, independently developed, or rightfully obtained from a third party.
Warranties; Disclaimers
THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODGIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. AI-GENERATED CONTENT MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE; YOU ARE RESPONSIBLE FOR HUMAN REVIEW, TESTING, AND VALIDATION. GoodGist
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS/REVENUE/GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. GOODGIST’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO GOODGIST FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT.
Some jurisdictions do not allow certain limitations; in that case, the limitations apply to the fullest extent permitted.
Indemnification
You will defend and indemnify GoodGist and its affiliates, officers, directors, employees, and agents from and against third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your Customer Content; (b) your use of the Services or Outputs in violation of law or these Terms; (c) your configurations, approvals, or changes in your environments; or (d) your use of Third-Party Services.
Intellectual Property; DMCA
The Services are owned by GoodGist and its licensors. Trademarks, logos, and product names are GoodGist’s or their respective owners’ property. If you believe Content or Output infringes your copyright, send a DMCA notice to the contact below with: (i) your signature; (ii) identification of the work and the infringing material; (iii) contact info; and (iv) a statement under penalty of perjury that you are authorized and your claim is accurate.
Export; Sanctions; Government Use
You will not use or export the Services in violation of applicable export control or sanctions laws. The Services are “commercial computer software” and related documentation; U.S. Government end-users receive only those rights set forth in these Terms.
Dispute Resolution; Governing Law
These Terms are governed by the laws of California, USA, without regard to conflict-of-laws principles. All disputes will be resolved exclusively in the state or federal courts in San Mateo, CA. The parties consent to personal jurisdiction and waive trial by jury. If you are a consumer and your local law requires otherwise, that law may apply.
Miscellaneous
These Terms are the entire agreement between you and GoodGist concerning the Services and supersede prior or contemporaneous agreements on the same subject. If any provision is held unenforceable, it will be reformed to the minimum extent necessary and the remainder will remain in effect. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing.
